COVID-19 Clause


On the edge of Global Health Crisis to minimize financial losses of the entrepreneurs there is a need to include the following COVID -19 clause in the contract. You may consider it in 4 languages; ©

1.Parties shall not be liable for damages caused by non-performance, partial performance, as well as by late performance of contractual obligations due to COVID-19, provided that the parties use all due means to mitigate such damages.
2. The party to the contract shall not be released from liability under the contract if it has foreseen or should have foreseen damages that might occur due to COVID-19.

1.Tərəflər COVİD-19 ilə əlaqədar olaraq müqavilə öhdəliklərinin icra edilməməsi, tam icra edilməməsi, həmçinin, gec icra edilməsinə görə yaranan zərərə görə heç bir məsuliyyət daşımırlar, bu şərtlə ki, tərəflər yaranan zərərin aradan qaldırılması üçün bütün mümkün vasitələrdən istifadə etsinlər.
2.Müqavilə tərəfi COVİD-19 səbəbindən yarana biləcək zərəri əvvəlcədən görüb və ya görməli olduğu halda, müqavilə üzrə məsuliyyətdən azad olmur.

1.Стороны не несут ответственности за убытки, вызванные несвоевременным исполнением, частичным, либо полным неисполнением договорных обязательств в связи с COVID-19, при условии, что стороны используют все необходимые средства для смягчения таких убытков.
2. Сторона договора не освобождается от ответственности по договору, если она предвидела,либо могла предвидеть убытки,возникшие в связи с COVID-19.

1.Les parties ne seront pas responsables des dommages causés par l'inexécution, l'exécution partielle, ainsi que par l'exécution tardive des obligations contractuelles dues à COVID-19. Pourvu que les parties utilisent tous les moyens nécessaires pour atténuer ces dommages.
2. La partie au contrat ne sera pas dégagée de sa responsabilité en vertu du contrat si elle a prévu ou devrait avoir prévu des dommages qui pourraient survenir en raison de COVID-19
